Welcome to The Wharf Sports Cards (the "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at www.wharfsportscards.com (the "Website") and client portal (the "Portal"), including any content, functionality, and services offered on or through the Website and Portal (collectively, the "Services"). The Services allow you to create accounts, submit sports cards for consignment ("Submissions"), track the status of your Submissions during auction processes, and request payouts for sold items.

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

You represent that you are at least 18 years old or the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

2. Agreement to Fanatics Collect Terms of Use

As part of our consignment services, we partner with Fanatics Collect to handle auctions and related processes for your Submissions. By using our Services, you acknowledge and agree that:

All Submissions are subject to the Fanatics Collect Terms of Use (available at https://help.fanaticscollect.com/hc/en-us/articles/18433319094045-Terms-of-Use), including any supplemental terms, policies, or agreements referenced therein (collectively, the "Fanatics Terms").
You have read, understood, and agree to be bound by the Fanatics Terms in their entirety.
Any interactions involving auctions, sales, storage, or other services provided by Fanatics Collect are governed solely by the Fanatics Terms, and we are not responsible for any disputes, liabilities, or issues arising from those interactions.
In the event of a conflict between these Terms and the Fanatics Terms regarding consignment, auction, or payout processes handled by Fanatics Collect, the Fanatics Terms shall prevail.
You must comply with all requirements under the Fanatics Terms, including but not limited to representations about ownership of items, prohibitions on certain conduct, and acceptance of arbitration provisions.

3. Account Creation and Use

To access the Portal and use certain Services, you must create an account ("Account"). You agree to:

Provide accurate, current, and complete information during registration and keep your Account information updated.
Maintain the security of your Account credentials and notify us immediately of any unauthorized access or use.
Be solely responsible for all activities that occur under your Account.

We reserve the right to suspend or terminate your Account at any time for any reason, including violation of these Terms or the Fanatics Terms.

4. Submissions and Consignment Process

Through the Portal, you may create Submissions for consignment. By submitting items:

You represent and warrant that you own the items free and clear of any liens, encumbrances, or claims, and that you have all rights to consign them.
You authorize us to act as your agent to consign the items to Fanatics Collect for auction or sale, subject to the Fanatics Terms.
You agree to provide all necessary information, including descriptions, images, and condition details, accurately and completely.
We may reject any Submission at our discretion if it does not meet our standards or the requirements of Fanatics Collect.
Once consigned, items are handled by Fanatics Collect, and we are not responsible for their storage, auction, or sale outcomes.

5. Tracking Submissions

The Portal allows you to track the status of your Submissions, including auction progress. Tracking information is provided for convenience and is based on data from Fanatics Collect. We do not guarantee the accuracy, timeliness, or completeness of tracking data, and any discrepancies should be addressed directly with one of our team members.

6. Payouts

Upon successful sale of your consigned items through Fanatics Collect:

Payouts will be processed after deduction of any applicable fees, commissions, or amounts owed to us or Fanatics Collect.
You may request payouts through the Portal, subject to our verification and any minimum thresholds.
Payouts may be made via methods we specify (e.g., bank transfer, check), and you are responsible for providing accurate payment information.
We reserve the right to withhold payouts if there are disputes, suspected fraud, or violations of these Terms or the Fanatics Terms.

7. Fees

You agree to pay all fees associated with our Services, including consignment fees, as detailed on the Website or in your consignment agreement. Fees may be deducted from payouts. We may update fees at any time with notice.

8. User Conduct

You agree not to:

Use the Services for any illegal or unauthorized purpose.
Interfere with or disrupt the Services or servers.
Attempt to gain unauthorized access to any part of the Services or other users' Accounts.
Upload or transmit viruses, malware, or harmful code.
Violate any intellectual property rights or applicable laws.

9. Intellectual Property

The Services, including all content, features, and design, are owned by us or our licensors and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive license to use the Services for personal, non-commercial purposes, subject to these Terms.

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), on an individual basis only (no class actions).

13. Miscellaneous

These Terms, together with the Fanatics Terms incorporated herein, constitute the entire agreement between you and us. If any provision is held invalid, the remainder shall continue in full force. Our failure to enforce any right does not constitute a waiver.
